Bylaws of the United States Snooker Association Inc., as adopted at the General meeting on September 3, 2005, at 2665 Wallingford Road, San Marino, California, and approved by all the Board.

Name:
|
|
1.
|
The name of the Association shall be UNITED STATES SNOOKER ASSOCIATION (Hereafter
referred to as the Association).
|
Headquarters:
|
|
1.
|
The Headquarters of the Association is currently located at the following address:

Berkeley
CA 94704
|
Objectives:
|
|
1.
|
The Association shall function as a nonprofit organization.
|
|
2.
|
The objectives of the Association shall be:
|
|
|
(a)
|
To govern and regulate Non-Professional and Professional Snooker in the United
States Of America.
|
|
|
(b)
|
To foster and encourage the game of snooker.
|
Membership:
|
|
1.
|
Membership in the Association shall be open to any individual desiring to uphold
the objectives and rules of the Association.
|
|
2.
|
Any individual desiring to become a member of the Association shall:
|
|
|
(a)
|
Make application to the Association for approval.
|
|
|
(b)
|
Forward with the application such application fees as are required by the Association.
|
|
3.
|
Upon receipt of the application the Association may either grant the same or may
refer the application for determination to the next Annual General Meeting of the
Association together with a statement as to special circumstances making such
reference necessary.
|
|
4.
|
Any member of the Association shall forfeit membership of the Association if:
|
|
|
(a)
|
They fail to pay any monies due to the Association.
|
|
|
(b)
|
A resolution that the member is expelled from membership is passed either at Annual
General Meeting or at any Special meeting of the Association by a majority of
three-quarters of the votes recorded.
|
Officers:
|
|
1.
|
(i) The Officers of the Association shall be the Executive Director, President,
Vice-President, Treasurer and the Secretary.
|
|
|
(ii) The Executive Director shall be appointed by the Board, while the remaining officers are
hereby elected for a two-year term and shall be eligible for re-election for subsequent terms.
|
The Executive Committee:
|
|
1.
|
(i) There shall be an Executive Committee hereafter referred to as the BOARD. The
Board shall consist of Executive Director, President, Vice-President, Treasurer, and
Secretary, as well as a maximum of seven (7) other elected directors. The duties,
rights and obligations of the Board shall be determined at any General Meeting of the
Association.

(ii) The Board may exercise all the powers of the Association not expressly required
by these rules to be exercised by the Association at the general meeting.
|
|
|
(iii) The Board shall be bound by any resolution duly passed at the Annual General
Meeting or at any Special General Meeting of the Association and shall perform the
particular duties imposed upon it by these Rules.
|
|
|
(iv) At all meetings of the Board a quorum shall be five (5). No Business shall be
transacted in the absence of a quorum.
|
|
|
(v) The Board shall have power and authority to change the status of any
non-professional or professional player warrant to such change and in accordance
with the instructions and regulations for the International Billiards and Snooker
Federation (IBSF).
|
Annual General Meeting:
|
|
1.
|
(i) There shall be held in every year during and at the place of the United States
National Snooker Championship an Annual General Meeting of the Association.
|
|
|
(ii) The Annual General Meeting shall be a meeting of all members who wish to
participate.
|
|
|
(iii) At the Annual General Meeting each member shall be entitled to exercise one vote.
|
|
|
(iv) The Executive Director of the Association shall have no vote except in the case
of a non-consensus by the Board.
|
|
2.
|
(i) The President of the Association shall take the chair at the Annual General
Meeting and at all Board and Special Meetings.
|
|
|
(ii) In the absence of the President the delegates present shall appoint one of
their members to be chairman.
|
|
3.
|
(i) The business of the Annual General Meeting shall be:
|
|
|
(a)
|
To check credentials of members.
|
|
|
(b)
|
To read and confirm the minutes of the last Annual Meeting and of any Special General
Meetings since that meeting.
|
|
|
(c)
|
To present the annual report and statement of accounts of the Association.
|
|
|
(d)
|
To consider proposed amendments of the Rules of which notice shall have been duly
given.
|
|
|
(e)
|
To elect the Board.
|
|
|
(ii) Except as provided by Clause 6 of these Rules, every question put to the vote at
the Annual General Meeting shall be decided by a majority of the votes recorded.
|
|
4.
|
(i) A Special General Meeting of the Association may be convened at any time by the
Association, for the purpose of considering any matter which the Board considers should
be subject of a decision of a Special General Meeting.
|
|
|
(ii) Every Special General Meeting shall be held at the time and place stated in the
notice calling the same, which shall be posted not later than twenty-one days before
that stated time. Any meeting called pursuant to a requisition as aforesaid shall be
held not later than six weeks after the day on which the Secretary receives the
requisition.
|
|
|
(iii) At any Special General Meeting no other business than that stated in the notice
convening the same shall be considered.
|
|
|
(iv) The foregoing provision of the Rules relating to the Annual General Meeting of
the Association shall, with necessary modifications, apply to all Special General
Meetings.
|
|
5.
|
Every member shall pay to the Association such sum fees and levies as and when
determined by the Association.
|
The United States National Snooker Championship:
|
|
1.
|
The Association shall hold the United States National Snooker Championship every
year. The Association shall determine the dates and places for holding these
Championships. The Association shall decide the method of holding all Championships.
|
|
2.
|
(i) All the expenses of the Championship shall be borne by the Association, which
shall also be entitled to all receipts from Championship.
|
|
|
(ii) The winner and runner-up of each Championship shall be awarded a trophy.
|
|
|
(iii) The Association and/or the Board shall be authorized to fix such Rules and
Regulations as it deems appropriate at any time to conduct the Championship.
|
|
3.
|
Only non-professional eligible players shall be permitted to compete in the Championship.
|
|
4.
|
A meeting of the players in any United States National Snooker Championship
shall be held prior to the start of such Championship.
|
Professional and International Championships, Handicaps and Open Tournaments:
|
|
1.
|
These may be held at such times and places as approved by the Association or the Board.
|
|
2.
|
An offense against these Rules shall consist of:
|
|
|
(a)
|
The doing of any act or thing forbidden by or under these Rules.
|
|
|
(b)
|
The willful refusal of omission to perform any imposed by these Rules.
|
|
3.
|
If any competitor commits an offense, he shall be penalized as the Association
deems fit.
|
|
4.
|
(i) The Association may from time to time by resolution recorded in its minutes of
proceedings make more effectually carrying out the objects of these Rules.
|
|
|
(ii) No such regulations shall be of any force or effect if in direct conflict with
any for the provisions of these Rules.
|
|
5.
|
The Association in general meeting may affiliate to any body generally recognized as
exercising Regional and/or International control of Billiards and Snooker. The
Association may enter into such agreement as it deems fit with Billiards and Snooker
control bodies outside the United States for both the purpose of arranging contests
between players in the United States and other countries, and to further the
advancement of Snooker.
